This agreement is between digiDen Creative Media ("us") and ("you").

Introduction

We're committed to helping you achieve your objectives and satisfy your requirements. To ensure a smooth process, this agreement outlines the roles, responsibilities, and guidelines that will govern our collaboration. Rest assured, the language here is straightforward—our goal is to make things clear and fair for everyone.

Summary

You're contracting digiDen Creative Media to design and develop a website at an estimated cost detailed in our initial proposal. While this seems simple, there are more details to consider, which are outlined below.

Responsibilities of Both Parties

Your Responsibilities

By entering this agreement, you confirm that you have the authority to do so on behalf of your company or organisation. You'll provide the necessary content (text, images, etc.) in the requested formats and within the agreed timelines. You'll also review our work, offer timely feedback, and adhere to mutually agreed-upon deadlines.

Payment Schedule

You agree to abide by the payment plan specified at the end of this document.

Our Responsibilities

We bring expertise and professionalism to your project. Although we aim to meet all agreed-upon deadlines, we can't be held accountable for delays caused by late materials or approvals from your end. Any confidential information shared will be protected.

Project Details

Design

We will create the visual design of your website, including aesthetics, layout, and functionality. This includes an initial design and up to three rounds of revisions. If further changes are desired, additional charges will apply, as per our standard design rates.

Code Compatibility

Our designs will be tested on current major desktop browsers. Older or less capable browsers may experience simplified designs. Note that we do not support Internet Explorer 6.

Text and Images

Unless explicitly included in the initial estimate, content creation is your responsibility. We can offer content writing services at additional cost.

Photographs

You're responsible for providing digital images. Stock photography is not included in the initial cost but can be added for an additional fee.

Changes and Revisions

Any changes beyond the initial estimate will incur additional costs. These will be communicated and agreed upon before proceeding. Significant changes to the project scope may result in a new quote and contract.

Technical Support

While we recommend hosting with us for streamlined updates, you're free to host elsewhere. For more, refer to digiDen's Terms and Conditions.

Legal Provisions

We can't ensure the website will be entirely error-free. As such, we won't be liable for damages, financial or otherwise, arising from errors. Unenforceable contract provisions will not affect the overall agreement's validity.

Copyrights

You affirm that all materials provided for the project are either owned by you or used with permission. Copyright transfers are specified below:

• You own the website's visual elements.

• The markup, CSS, and other code remain our intellectual property but are licensed to you for this specific project.

Payment Terms

• A 50% deposit is due upfront.

• The balance is due when the website is ready to go live.

Note

We reserve the right to halt the project if payments aren't made according to the payment schedule.

Miscellaneous

This contract may not be transferred without our explicit permission. It is under the jurisdiction of the United Kingdom's courts. Clicking "Accept Quote" on the proposal website constitutes your agreement to these terms.
